Overview
The Administrative & Legal Associate will support the day-to-day administrative, corporate secretarial, and legal operations of Balfin BV and its international subsidiaries. The role ensures compliance with corporate, legal, and regulatory requirements, supports group transactions, and acts as a liaison between internal teams, external advisors and authorities.
Main Responsibilities:
Prepare, review, and coordinate Board and Shareholders’ resolutions, minutes, powers of attorney, and corporate approvals.
Administrative support including drafting documentation and coordinating execution and filing for subsidiaries.
Maintain statutory registers and corporate records for the Dutch entity and group subsidiaries.
Act as Company Secretary for Balfin B.V. and coordinate company secretarial matters across group subsidiaries.
Support legal documentation related to share capital and share premium contributions, Intercompany loans and financing agreements and assignment, management, lease, and service agreements.
Administrative support including drafting documentation and coordinating execution and filing for subsidiaries.
Liaise with external lawyers, notaries, auditors, and consultants across multiple jurisdictions.
Support payment processes, including preparation and follow-up of payment orders and supporting documentation.
Support completion of KYC processes and annual compliance reviews.
Maintain compliance logs, transaction profiles, and regulatory documentation.
Coordinate responses to compliance, regulatory, and information requests from authorities or service providers.
Requirements
Qualifications and Requirements
Bachelor’s or Master degree in Law.
2–3 years of experience in corporate administration, legal support, or company secretarial services, preferably in an international environment.
Experience with Dutch corporate law and governance is a strong advantage.
Familiarity with multinational group structures and cross-border operations.
Excellent command of Ducth and English languages.
