TIRANA BANK, one of the leading banks in Albania and member of BALFIN Group, is seeking to welcome a qualified and proactive candidate as a Legal Project Finance Officer (Band 4T) to join our Corporate Division in the following position:
Overall Job Definition
The Legal Project Finance Officer plays a key role in originating, evaluating, structuring, and monitoring infrastructure finance transactions. The role carries significant legal responsibilities, ensuring full compliance with banking regulations, internal policies, and transaction‑specific legal frameworks. The Specialist works closely with the Project Finance Manager and coordinates with internal departments, external legal advisors, financial institutions, and regulatory bodies to successfully structure, document, and execute complex financing arrangements.
Primary Responsibilities (Legal & Structuring Focus)
1. Legal Structuring & Documentation
- Coordinate the preparation, review, and finalization of all legal documentation related to loan agreements, guarantees, collateral packages, pledges, mortgages, and other security instruments.
- Ensure that all transaction documents are fully aligned with internal underwriting approvals, legal standards, and regulatory requirements.
- Liaise with external counsel, notaries, property evaluators, and technical consultants to verify the legal validity, enforceability, and completeness of all contractual obligations.
- Oversee the legal due diligence process—including verification of ownership rights, zoning/building permits, environmental compliance, corporate documentation, and contractual commitments.
- Ensure accurate registration, perfection, and monitoring of securities in accordance with Albanian law and Bank policies.
- Support the resolution of legal issues during project development, documentation negotiation, signing, and financial close.
2. Compliance, Risk Governance & Credit Process
- Ensure strict adherence to the Bank’s Credit Policy, Legal Policy, AML/Compliance requirements, and regulatory frameworks for all transactions.
- Identify legal risks, covenant breaches, and structural weaknesses during the credit assessment, proposing appropriate risk‑mitigation measures.
- Prepare and submit detailed legal‑and‑risk‑aligned analysis for Credit Committee approval.
- Monitor ongoing compliance with covenants, collateral conditions, insurance, and project milestones throughout the loan life cycle.
3. Transaction Structuring & Financial Analysis
- Participate in structuring lending products, guarantee schemes, credit enhancements, collateral structures, and contractual frameworks for project finance deals.
- Build comprehensive financial models (cash flow, DSCR, IRR, covenant testing) to assess project bankability.
- Conduct sensitivity analyses and scenario assessments to evaluate downside legal, financial, and operational risks.
- Assist in preparing term sheets, facility agreements, security documentation, and disbursement conditions.
4. Coordination With External Stakeholders
- Maintain active relationships with external counsel, consultants, lenders, government institutions, regulators, and project developers to ensure legal consistency and transaction execution.
- Participate in negotiations with clients and partners regarding contractual terms, covenants, security structures, pricing, disbursement schedules, and restructuring actions if required.
5. Disbursement, Monitoring & Reporting
- Ensure all precedent conditions are legally satisfied prior to first disbursement (CPs), including proper registration of collateral, insurance coverage, permits, licenses, and corporate approvals.
- Monitor draw downs, repayment terms, and compliance with legal and contractual obligations throughout the loan tenure.
- Prepare periodic monitoring reports—including cash flow updates, DSCR tracking, fund flow statements, and legal compliance status—for submission to the Credit Committee.
Requirements
Required Competencies / Skills
Education & Certification
- University degree in Economics, Finance, Accounting, or Law (mandatory).
- Master’s degree (MBA/MA) in Finance, Business Administration, or related field is an asset.
Technical & Legal Expertise
- Strong understanding of legal frameworks governing banking, collateral registration, corporate law, and financial contracts.
- Proven experience in reviewing or coordinating legal documentation relating to loan structuring and collateral.
- Advanced financial modeling capabilities (building full project finance models from scratch).
- In‑depth knowledge of corporate finance, risk management, capital markets, and financial regulations.
Professional Experience
- 5–8 years of experience in Corporate Banking, Project Finance, or structured finance involving complex legal and financial schemes.
- Previous exposure to legal due diligence, loan documentation, credit structuring, or interactions with external counsel.
Core Skills
- Strong analytical thinking and professional judgment.
- Excellent negotiation and communication skills (written and verbal).
- Ability to manage multiple stakeholders and deliver results under pressure.
- High integrity, confidentiality, adaptability, and independence in managing sophisticated transactions.
